You must:

Certain services may involve qualified New Zealand lawyers or legal professionals reviewing transaction documents and settlement requirements.

We do not guarantee:

• Settlement approval
• Transaction completion
• Financing approval
• Registration outcomes
• Specific timeframes

Outcomes may depend on third parties outside our control.

You agree to:

• Provide complete and accurate information
• Promptly respond to requests
• Supply required identification documents
• Maintain confidentiality of account credentials
• Use the platform lawfully

Fees will be disclosed before engagement.

Additional costs imposed by third parties may apply, including:

• Government charges
• Registration fees
• Search fees

• Banking charges

You consent to receiving communications electronically.

Electronic notices, approvals, and signatures may satisfy legal requirements where permitted by law.

All content, software, branding, trademarks, designs, and materials on the platform remain the property of Proply or its licensors.

You may not, without permission, do any of the following with any part of the platform:

• Copy
• Modify
• Reverse engineer
• Redistribute
• Commercially exploit

We strive to maintain platform availability but do not guarantee uninterrupted access.

Maintenance, upgrades, outages, or third-party failures may affect service availability.

To the maximum extent permitted by law:

• Proply is not liable for indirect or consequential loss.
• Liability is limited to the amount paid for the relevant service.
• We are not responsible for losses caused by third parties, government agencies, financial institutions, or system failures beyond our control.
• Nothing excludes rights that cannot legally be excluded.

You agree to indemnify Proply against claims, losses, costs, or liabilities arising from your breach of these Terms or unlawful use of the platform.

We may suspend or terminate access where:

• Information provided is false or misleading
• Fraud is suspected
• Legal obligations require suspension
• These Terms are breached

These Terms are governed by the laws of New Zealand.

Any disputes shall be subject to the exclusive jurisdiction of New Zealand courts.

You must not:

• Violate any law or regulation
• Submit false or misleading information
• Impersonate another person
• Upload malicious software
• Attempt unauthorised access
• Interfere with platform security
• Disrupt services
• Harvest user data
• Use automated scraping tools without permission
• Infringe intellectual property rights

You are responsible for maintaining the security of your login credentials and activities undertaken through your account.

Any content submitted must:

• Be lawful
• Be accurate
• Not infringe third-party rights
• Not contain malicious code

We may monitor platform activity for security, compliance, fraud prevention, and service improvement purposes.

We may remove content, suspend accounts, restrict access, or report unlawful activity to authorities where necessary.

Continued use of the platform constitutes acceptance of any revised policy.
